Floormode Terms of Service

Terms for Floormode warehouse and order management, fulfillment, shipping integrations and authorised API and AI connections.

Version 1.1 · Last updated 7 November 2026

1. Provider and agreement

Floormode is provided by P&H Cloud Solutions UG (haftungsbeschränkt), Julius-Hatry-Straße 1, C311, 68163 Mannheim-Lindenhof, Germany, registered at Amtsgericht Potsdam under HRB38151P ("P&H", "we" or "us"). Contact: support@p-h.solutions.

These Terms govern the customer's use of Floormode, including its supported APIs, MCP connectors and AI integrations. The service is designed for merchants using it for business or professional purposes. A person acting for a business must have authority to bind that business. Mandatory protections that apply to a customer remain unaffected.

These Terms form part of the contract when made available and accepted through the applicable installation, subscription or other agreement process. Publishing this page alone does not replace an existing agreement. An individually agreed written contract takes precedence over conflicting provisions here.

2. Service and permitted access

Floormode provides warehouse and order management, receiving, stock movements and counts, picking, packing, fulfillment, returns and supported shipping integrations. Authorised team members can use the Shopify app or standalone access. External API and MCP access require the applicable entitlement and permissions.

During the agreed service period, you may use the included features for your business through supported interfaces, subject to the agreed plan and access controls. You retain ownership of your data. P&H and its licensors retain their rights in the software, documentation and branding; use of the service does not transfer those rights or grant access to private backend source code.

3. Accounts, stores and team members

You must be authorised to connect each store, workspace and third-party account. Keep your account information accurate, protect credentials and connection codes, assign appropriate staff roles, and promptly remove access that is no longer needed. Notify support of suspected unauthorised access.

You are responsible for the access you grant to your staff, contractors and connected clients and for their permitted use on your behalf. This does not remove P&H's responsibility for its own contractual duties or its obligation to enforce the service's access controls.

4. Plans, charges and changes of plan

The price, currency, billing interval, renewal conditions, trial terms and included features are those disclosed for the plan you approve. Shopify processes Shopify app subscription charges under its billing arrangements. These Terms do not introduce an additional subscription charge for connecting through a chat marketplace.

Plans are approved and billed through Shopify. Order allowances follow the confirmed billing cycle. The app shows the applicable allowance and any grace period or restriction on new order releases; existing work and other operations follow the documented plan rules. There are no automatic paid plan upgrades. Shipping-provider charges are separate from the app subscription.

You are responsible for applicable taxes and charges disclosed in the applicable purchase process. Third-party subscriptions, carrier services and other separately contracted services are not included unless expressly stated. Refunds, credits and billing corrections follow your agreed plan, applicable platform billing rules and mandatory law; these Terms do not exclude statutory refund rights. Contact support about a disputed app charge.

5. Operational decisions and automation

Check warehouse-to-Shopify location mappings, stock quantities, units, shipping addresses, parcel dimensions, weights, customs information and automation rules before use. Scans, allocation suggestions and expiry-first stock selection assist your workflow; they do not replace physical checks or your product-safety, export, tax, customs or dangerous-goods obligations.

Recorded stock, picking and allocation suggestions, and shipping information depend on source records, scan events, configuration and connected-provider information. They do not independently certify the physical contents, condition or availability of goods, or guarantee dispatch times, carrier delivery or a particular warehouse throughput. Carrier estimates remain subject to the applicable carrier agreement. You retain responsibility for physical counts, packing checks, safe handling and carrier selection. A difference between an estimate or recorded state and a physical or carrier outcome does not, by itself, establish defective performance.

Authorised actions and configured rules may release orders, move or adjust stock, buy shipping labels, book freight, send messages, update fulfillment or process supported return and refund workflows. Carrier charges and cancellation or refund eligibility follow your carrier or shipping-provider agreement. P&H supplies software and does not act as your carrier or take physical custody of your goods.

Unless expressly agreed otherwise, P&H undertakes to provide the agreed software functions, not to achieve a particular commercial, inventory, production or logistics outcome for your business. These scope limits do not excuse a failure to supply the agreed functionality or perform it with the legally required care. Liability for such a failure is governed by section 13.

Take reasonable steps to prevent and mitigate loss: check implausible results, investigate discrepancies before repeating consequential actions, and pause affected automations where safe and within your control. Inform P&H in advance of an unusually high risk of loss from your intended use if that risk would not otherwise be apparent. Any contribution to a loss by either party is assessed under the applicable statutory rules; these responsibilities do not make you liable for P&H's own failures.

6. APIs, MCP connectors and AI clients

When you connect an external client such as ChatGPT or Claude, you authorise Floormode to make the requested information and supported operations available within that connection's granted scope, user permissions and feature entitlement. A read-only grant does not permit writes. A write-enabled connection may modify business records or trigger the operational effects described above.

Choose the least access needed, review consequential instructions and proposed actions, and check the actual returned result. AI-generated answers and code may be inaccurate or incomplete. A natural-language request or an AI client's confirmation is not a guarantee that an operation succeeded, failed or was reversed. Before retrying a failed write, check whether any effects already occurred.

You retain responsibility for the business instructions and code you or an external AI client choose to submit. P&H does not guarantee the accuracy or suitability of an external client's answers, interpretations or generated code. This does not exclude P&H's responsibility for its own supported operations, access controls or providers used to perform its contractual obligations; section 13 applies.

External clients operate under their own terms and privacy practices. Information retrieved into a conversation or another client may be retained there independently. Revoke a connection through the available access controls to prevent further authorised use; revocation does not recall previously retrieved information, undo completed actions or cancel the underlying app subscription.

7. Customer data and confidentiality

You must have the rights and lawful basis needed to supply the information you process through the service and to disclose it to the clients and recipients you select. Grant P&H only the permissions needed to host, process, transmit and otherwise handle that information to deliver and secure the service and meet legal obligations. This permission does not transfer ownership of your data.

Each party will protect the other's non-public business information with reasonable care, use it only for the contractual relationship, and disclose it only to people or service providers who need it and are subject to appropriate confidentiality duties. This does not cover information lawfully public, already known without restriction, independently developed or lawfully received from another source. Legally required disclosures remain permitted, with notice where allowed.

The linked privacy notice explains personal-data processing. Where P&H processes personal data on your behalf, any required data-processing agreement must be in place; these Terms are not a substitute for an agreement required by Article 28 GDPR. Contact support for the applicable data-processing arrangements.

8. Acceptable use and security

Use the service lawfully and within the rights granted to you. Do not access another customer's information, bypass authentication, permissions, subscription controls or rate limits, introduce malicious content, interfere with the service, or use it to infringe another person's rights.

Use supported interfaces within their documented limits. Restrictions here do not prevent activities that mandatory law expressly permits. Report suspected security issues privately to support instead of testing against another customer's records or publishing access credentials.

9. Connected platforms and providers

The service depends on Shopify and may use other platforms or providers you choose to connect. Their availability, API limits, permissions and policies can affect the integration. Your agreements with those providers continue to apply, and you are responsible for maintaining your own accounts and authorisations.

We will handle integration failures within our contractual responsibilities and explain material limitations when known. A third-party dependency does not, by itself, exclude P&H's liability or responsibility for providers it uses to perform its own obligations.

10. Availability, maintenance and support

We maintain and update the service and may perform necessary maintenance or security work. We will give reasonable advance notice of planned material interruptions where practicable; urgent security measures may require immediate action. No specific uptime percentage, support response time or recovery period is promised unless separately agreed.

Report faults to support with enough non-secret information to identify the affected store, operation and time. Keep independent copies of records you must retain and use available exports before making substantial changes. These precautions do not reduce our contractual duties or your statutory remedies for defects.

11. Proportionate suspension

We may restrict affected access where reasonably necessary to address a serious security threat, unlawful use, material breach or a confirmed loss of the subscription or permissions required for that feature. Restrictions will be proportionate to the issue. Where practicable and lawful, we will explain the reason, allow a reasonable opportunity to remedy it and restore access when the grounds are resolved.

Urgent action may be necessary to protect the service or others. We do not acquire a general right to remove paid functionality arbitrarily, and suspension does not eliminate any refund or other remedy required by the contract or mandatory law.

12. Cancellation, termination and data on exit

You may cancel or change your subscription using the applicable Shopify or agreed account-management process. The effective date, remaining access and any amounts payable follow the subscription terms shown for your contract and mandatory law. Closing a browser, disconnecting an AI client or ceasing to use a feature does not itself cancel the app subscription. Either party retains its statutory right to terminate for good cause.

Uninstalling the last connected store deletes the Floormode warehouse account's app data and stored files; reinstalling starts an empty setup. When one store leaves a shared account, store-specific order cleanup and any limited wind-down follow the installation documentation and privacy notice. Export required records and resolve open warehouse work before uninstalling. Existing Shopify records and completed carrier bookings are not automatically reversed.

Arrange exports and operational handover before ending access. App deletion is distinct from legally required retention, provider logs and copies you or your connected clients hold, as explained in the privacy notice. Nothing here promises a recovery window or restoration of deleted app data.

13. Liability and mandatory rights

P&H is liable without limitation for intent and gross negligence; injury to life, body or health; fraudulent concealment of defects; express guarantees to the extent of the guarantee; and liability that cannot lawfully be limited, including under applicable product-liability law.

Subject to the unlimited-liability cases above, P&H is liable for ordinary negligence only where it breaches an essential contractual obligation, meaning an obligation whose performance makes the contract possible and on which the customer may ordinarily rely. Liability in those cases is limited to the loss foreseeable and typical for the contract when it was concluded. Liability for ordinary negligence outside those essential obligations is excluded.

P&H does not assume your general commercial or operating risk. P&H is not liable merely because a forecast, recommendation, buildability or cost estimate, recorded stock position or shipping estimate differs from the eventual outcome, or because a business decision made using the service results in overstock, a stockout, lost sales, production disruption or another loss. Where a loss is caused by defective performance or another circumstance for which P&H is legally responsible, the preceding liability rules apply instead of this outcome-based exclusion.

In the ordinary-negligence cases described above, losses outside the foreseeable and contract-typical scope are excluded, including speculative profits and exceptional procurement, production or business-interruption losses outside that scope. Lost profits or downstream losses are not categorically excluded where they are foreseeable, typical consequences of a breach of an essential obligation. The unlimited-liability cases above remain unaffected.

P&H does not bear losses to the extent caused solely by inaccurate customer-supplied data, unsuitable customer-selected settings or instructions, or external events outside its contractual responsibility, where P&H had no duty to prevent, detect or correct the cause. Where both parties contributed to a loss, the statutory rules on contributory fault and mitigation apply. This clause does not shift the statutory burden of proof or remove P&H's responsibility for providers it uses to perform its obligations.

These limitations apply to contractual and non-contractual damages claims arising from the service, and also protect P&H's legal representatives and persons used to perform its obligations. Mandatory statutory liability and rights remain unaffected. The operational and AI provisions do not override the unlimited-liability cases or the protection for essential contractual obligations set out above.

14. Changes to the service or these Terms

We may improve features and make changes needed for security, legal compliance or compatibility. Material changes must respect existing contractual commitments. If a contracted feature cannot continue, we will explain the available options and any applicable termination or refund rights.

For an existing contract, material changes to these Terms, pricing or the agreed core service require agreement or another legally valid basis. Posting an updated page or a customer's silence alone does not establish acceptance. We will communicate proposed changes and their intended effective date through an appropriate channel. The version date identifies the text of this page.

15. Applicable law and language

The contract is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory protections and jurisdiction rules that cannot be displaced by agreement remain unaffected. Jurisdiction otherwise follows the applicable statutory rules.

These Terms are provided in English. Any language priority for a translated version must be expressly stated with that version. An invalid provision does not invalidate the remaining contract; the applicable statutory rules govern the resulting gap.
